1. PRODUCT WARRANTY AND DISCLAIMERS

A. Hardwire, LLC warrants that its products will conform at the time of delivery to the wire tensile strength and wires-per-inch count specified in the applicable Hardwire product data sheets, and will otherwise conform at that time to the descriptions in the product data sheets.

B. Customer, not Hardwire, LLC or its personnel, has sole responsibility for determining whether a particular Hardwire product may be suitable for Customer's intended uses, and assumes all related risk. HARDWIRE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

C. Hardwire® products are only intended for molding, laminating, and reinforcing uses, or for engineering evaluation. When properly incorporated into reinforced plastics and cements, Hardwire® products will normally produce properties similar to those shown in the applicable product data sheets, typical of well-made plastic laminates or cementicious composites. However, Hardwire, LLC cannot predict or warrant the actual performance of materials that incorporate Hardwire® products, due to the multitude of resin choices, manufacturing processes, potential end uses, and other variables not under Hardwire, LLC's control. Results may therefore vary. CUSTOMER TESTING IS STRONGLY RECOMMENDED.

D. Hardwire, LLC will be pleased to discuss potential uses of Hardwire® products in a particular application, but Hardwire assumes no obligation or liability based on any such discussions. Hardwire, LLC's disclaimers of warranty will remain in full force notwithstanding any such communications.

E. The warranty set forth in Section 1A above is Hardwire, LLC's sole and exclusive warranty. Customer's exclusive remedy for breach of that warranty is replacement of the nonconforming materials by Hardwire, LLC. Customer agrees that Hardwire, LLC shall not be liable for any indirect, special, incidental or consequential damages, including but not limited to any loss of revenues, profits, or goodwill, or for any punitive or exemplary damages, regardless of whether the claim is based on contract, tort, or other form of action.

2. PROHIBITIONS ON MISUSE

A. Customer expressly agrees not to resell any Hardwire® products in their original form, but only as incorporated by Customer or its authorized contractors into a molded, laminated, or reinforced plastic, wood, steel or cement material.

B. Hardwire® products and designs are protected by applicable patent and copyright law. Hardwire® products may not be duplicated without the written permission of Hardwire, LLC. By submitting its order for Hardwire® products, Customer expressly agrees not to duplicate, reverse engineer or contribute in any way to the duplication or reverse engineering of the Hardwire® product, and not to attempt to do so.

C. "Hardwire" and related logos and other marks are registered trademarks of Hardwire, LLC. Customer may advertise or publicize that its materials or products have been manufactured using Hardwire® products. Hardwire, LLC does not permit that the Hardwire® material be re-branded by customer for the purposes of advertising, marketing or promotion, and further that any mention of the reinforcing material be specifically referred to as Hardwire® using the copyrighted brand shown on this web site.
